These Terms and Conditions ("Terms", "Agreement") govern your membership of The Tech COOP Pty Ltd ABN 89 695 606 387 ("The Tech Co-op", "The Co-op", "we", "us", or "our") and your use of our services. By becoming a member, you ("Member", "you", "your") agree to be bound by these Terms.

Please read these Terms carefully before joining. If you do not agree to these Terms, you should not proceed with membership.

1. About The Tech Co-op

The Tech Co-op is a membership cooperative providing shared access to specialist resources — including quality assurance, marketing, operations, and sales support — for IT and managed services provider (MSP) businesses in Australia.

Our model is built on shared access. Specialists serve the cooperative membership as a whole, not any single member exclusively. This means resource availability, response times, and capacity are managed across the entire membership base.

2. Membership Eligibility

2.1 Who Can Join

Membership is open to Australian-registered businesses that operate in the IT or managed services provider (MSP) sector. To be eligible, your business must:

  • Hold a valid Australian Business Number (ABN)
  • Operate in the IT, MSP, or closely related technology services industry
  • Have annual revenue broadly in the range of $500,000 to $2,000,000 (this is a guideline, not a hard rule — we use it to ensure our services are relevant to your stage of business)
  • Be authorised by an individual with the legal authority to bind the business to this Agreement

2.2 Membership Approval

Membership is granted automatically upon completing the sign-up process and submitting payment, provided the eligibility criteria above are met. We reserve the right to verify eligibility information and to revoke membership if eligibility criteria are found to have been misrepresented.

2.3 One Membership Per Business

Each membership covers one business entity (identified by its ABN). Multiple individuals within that business may access cooperative resources under a single membership, but a separate membership is required for each distinct business entity.

3. Services

3.1 What's Included

Your membership provides shared access to The Co-op's specialist resource pool. The specific services and specialists available may change over time as the cooperative grows and evolves. Current service areas include (but are not limited to):

  • Quality assurance and process improvement
  • Marketing support and strategy
  • Operations and workflow optimisation
  • Sales support and enablement

Specific service offerings, availability, and scope are communicated through the member portal and cooperative communications.

3.2 What's Not Included

Membership does not include:

  • Exclusive or dedicated access to any specialist — all resources are shared across the membership
  • Guaranteed availability at specific times or for specific durations
  • Legal, financial, or tax advice (specialists may assist with operational tasks, but this does not constitute professional advisory services)
  • Services outside the cooperative's published service areas

3.3 Fair Use and Resource Management

Access to specialist resources is provided on a fair use basis. The Co-op manages resource allocation across the membership to ensure all members receive meaningful value. This means:

  • The Co-op retains full discretion over how resources are allocated, prioritised, and scheduled across the membership
  • Members are expected to use resources reasonably and in the cooperative spirit of shared access
  • If usage by any member is assessed by The Co-op to be disproportionate or disruptive to the broader membership, we will work with that member to find a reasonable solution — which may include adjusting access, implementing usage guidelines, or other measures at our discretion
  • The Co-op may introduce, modify, or remove specific usage guidelines at any time to ensure fair access for all members

3.4 Service Availability

We aim to provide consistent access to specialist resources during standard Australian Eastern business hours (Monday to Friday, excluding NSW public holidays). However, availability may vary due to demand, specialist capacity, leave, and other operational factors. We do not guarantee specific response times or turnaround periods, though we strive to manage the cooperative's resources to deliver timely and meaningful support to all members.

3.5 Service Changes

As the cooperative evolves, we may add, modify, or discontinue specific service areas. We will communicate significant service changes to members in advance where practicable.

4. Fees and Payment

4.1 Membership Fee

The current membership fee is $2,000 AUD per month (excluding GST). This fee covers access to the cooperative's shared specialist resource pool and all included services.

4.2 Billing

Membership fees are billed monthly in advance. Payment is processed automatically via your nominated payment method on your billing date. Your billing date is the date you first activated your membership, recurring monthly thereafter.

4.3 Payment Method

Payment is processed through our payment provider (currently Stripe). You are responsible for maintaining a valid payment method on file and ensuring sufficient funds are available for each billing cycle.

4.4 Failed Payments

If a payment fails, we will attempt to process it again and notify you by email. If payment remains outstanding for more than 14 days past the billing date, we may suspend your access to cooperative resources until the account is brought current. If payment remains outstanding for more than 30 days, we may terminate your membership in accordance with Section 9.

4.5 Fee Changes

We may adjust the membership fee from time to time. Any fee changes will be communicated to members by email at least 30 days before taking effect. The new fee will apply from your next billing cycle after the notice period. If you do not agree to a fee change, you may cancel your membership before the new fee takes effect in accordance with Section 8.

4.6 GST

All fees are quoted exclusive of GST. GST will be added to your invoice in accordance with Australian taxation law. Tax invoices are provided for each payment.

5. 30-Day Money-Back Guarantee

New members are entitled to a 30-day money-back guarantee from the date their membership is activated. If you are not satisfied with the cooperative for any reason within this initial 30-day period, you may cancel and receive a full refund of your first month's membership fee.

To claim the guarantee, contact us at info@tcoop.co within 30 days of your membership activation date. Refunds under this guarantee will be processed to your original payment method within 14 business days.

This guarantee applies to your first month of membership only. After the initial 30-day period, the standard cancellation and refund terms in Sections 6 and 8 apply.

6. Refunds (After the Guarantee Period)

After the initial 30-day money-back guarantee period:

  • Membership fees are non-refundable for the current billing period
  • If you cancel mid-cycle, your access continues until the end of your current paid period — no pro-rata refund is provided for the remaining days
  • No refunds are provided for periods where your access was suspended due to a breach of these Terms

7. Member Obligations

7.1 Acceptable Use

As a member, you agree to:

  • Use cooperative resources for legitimate business purposes related to your IT/MSP operations
  • Treat all specialists, staff, and fellow members with professionalism and respect
  • Provide accurate and complete information during sign-up and throughout your membership
  • Keep your account credentials secure and not share them with non-authorised individuals
  • Comply with all applicable Australian laws and regulations in connection with your use of our services

7.2 Prohibited Conduct

Members must not:

  • Misrepresent their business or eligibility information
  • Resell, sublicense, or redistribute access to cooperative resources to non-members
  • Use the cooperative or its resources to compete directly with The Co-op's services
  • Engage in conduct that is abusive, harassing, or disruptive to specialists, staff, or other members
  • Attempt to reverse-engineer, scrape, or misuse any cooperative systems, tools, or platforms
  • Use cooperative resources for any unlawful purpose

7.3 Confidentiality

In the course of membership, you may be exposed to confidential information belonging to The Co-op, its specialists, or other members. You agree to keep such information confidential and not disclose it to any third party without prior written consent. This obligation survives the termination of your membership.

8. Cancellation

8.1 How to Cancel

You may cancel your membership at any time by emailing info@tcoop.co. Cancellation requires 30 days' written notice.

8.2 Effect of Cancellation

Upon cancellation:

  • Your access to cooperative resources will continue until the end of your current paid billing period or the end of your 30-day notice period, whichever is later
  • No further charges will be made after your final billing period
  • You remain responsible for any outstanding fees incurred before cancellation takes effect
  • Any ongoing work with specialists will be wrapped up or transitioned as practicable within the remaining access period

8.3 Rejoining

Former members may rejoin the cooperative at any time, subject to current eligibility requirements and the membership fee in effect at the time of rejoining. The 30-day money-back guarantee does not apply to returning members.

9. Suspension and Termination by The Co-op

9.1 Suspension

We may suspend your access to cooperative resources, with or without notice, if:

  • Your payment is overdue by more than 14 days
  • We reasonably believe you are in breach of these Terms
  • Your conduct is disruptive to the cooperative or its members
  • We need to investigate a complaint or concern involving your membership

We will notify you of any suspension and the reason for it. Where practicable, we will give you an opportunity to remedy the issue before suspension takes effect.

9.2 Termination

We may terminate your membership:

  • For cause — immediately or with notice, if you materially breach these Terms and fail to remedy the breach within 14 days of being notified
  • For non-payment — if fees remain outstanding for more than 30 days
  • For serious misconduct — immediately, including fraud, misrepresentation, illegal activity, or conduct that poses a risk to the cooperative, its members, or its staff
  • Without cause — with 30 days' written notice, for any reason at our discretion

9.3 Effect of Termination

Upon termination:

  • Your access to cooperative resources ceases on the termination date
  • If terminated without cause or due to a fee change you did not agree to, you will receive a pro-rata refund for any unused portion of your current paid billing period
  • If terminated for cause or misconduct, no refund is provided
  • Your obligations under Sections 7.3 (Confidentiality) and 10 (Intellectual Property) survive termination

10. Intellectual Property

10.1 The Co-op's IP

All intellectual property in The Co-op's website, branding, tools, frameworks, templates, systems, and methodologies remains the property of The Tech COOP Pty Ltd. Your membership does not grant you ownership of or any licence to use The Co-op's intellectual property beyond what is necessary to receive the cooperative's services during your membership.

10.2 Work Product

Where specialists produce deliverables specifically for your business (such as documents, strategies, audits, or other materials created at your request), you own the intellectual property in those deliverables once they are delivered to you and your membership fees are current.

The Co-op retains the right to use general knowledge, techniques, methodologies, and non-confidential learnings from service delivery across the cooperative — this is how we improve and develop our shared resources for all members.

10.3 Member Content

You retain ownership of any content, data, or materials you provide to The Co-op. By providing such materials, you grant us a limited licence to use them as necessary to deliver the cooperative's services to you.

11. Limitation of Liability

11.1 No Guarantees of Outcome

The Co-op provides access to shared specialist resources to support your business. We do not guarantee any specific outcome, result, revenue improvement, or business performance. Any projections, strategies, or recommendations provided through the cooperative are opinions and guidance only — not guarantees.

11.2 Limitation

To the maximum extent permitted by law, The Tech COOP Pty Ltd's total liability to you for any claims arising out of or in connection with your membership and these Terms is limited to the total membership fees paid by you in the 3 months immediately preceding the event giving rise to the claim.

11.3 Exclusion of Consequential Loss

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including (but not limited to) loss of profits, revenue, data, business opportunities, or goodwill — whether arising from contract, negligence, or otherwise.

11.4 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

12. Dispute Resolution

12.1 Informal Resolution

If a dispute arises in connection with your membership or these Terms, both parties agree to first attempt to resolve it in good faith through direct communication. Please contact us at info@tcoop.co outlining the nature of the dispute.

12.2 Mediation

If the dispute is not resolved within 30 days of the initial complaint, either party may refer the matter to mediation administered by the Australian Disputes Centre (ADC) or another mutually agreed mediation service. The costs of mediation will be shared equally between the parties unless otherwise agreed.

12.3 Litigation

If mediation does not resolve the dispute, either party may pursue the matter through the courts of New South Wales, Australia. Both parties agree to submit to the non-exclusive jurisdiction of the courts of New South Wales.

13. Changes to These Terms

13.1 How We Update These Terms

We may update these Terms from time to time. Changes may arise due to service evolution, legal or regulatory requirements, operational needs, or feedback from the membership.

  • Minor changes — clarifications, formatting, corrections, or non-material updates may take effect immediately upon posting to our website.
  • Material changes — changes that affect your rights, obligations, fees, or the nature of the services will be notified to members by email at least 30 days before taking effect.

13.2 Your Options When Terms Change

If you do not agree to a material change, you may cancel your membership before the change takes effect in accordance with Section 8. Continued use of the cooperative's services after a material change takes effect constitutes acceptance of the updated Terms.

13.3 Version History

The "Last Updated" date at the top of these Terms will always reflect the most recent revision. Previous versions are available on request by contacting info@tcoop.co.

14. General Provisions

14.1 Governing Law

This Agreement is governed by the laws of New South Wales, Australia.

14.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Tech COOP Pty Ltd regarding your membership. They supersede any prior discussions, representations, or agreements.

14.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

14.4 Waiver

A failure by The Co-op to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.5 Assignment

You may not assign or transfer your membership or any rights under this Agreement without our prior written consent. We may assign our rights and obligations under this Agreement to a successor entity (e.g. in the event of a business restructure or acquisition) with notice to you.

14.6 Force Majeure

Neither party will be liable for failure or delay in performing obligations due to events beyond reasonable control, including natural disasters, pandemics, government actions, internet disruptions, or other force majeure events. If such an event continues for more than 60 days, either party may terminate this Agreement with written notice.

14.7 Notices

All formal notices under this Agreement must be in writing and sent by email. Notices to The Co-op should be sent to info@tcoop.co. Notices to members will be sent to the email address on file for the membership account.

14.8 Interpretation

In these Terms, unless the context requires otherwise: words in the singular include the plural and vice versa; references to a person include corporations, partnerships, and other entities; "including" means "including without limitation"; and references to currency are to Australian Dollars (AUD). Section headings are for convenience only and do not affect interpretation.

15. Acceptance

By completing the membership sign-up process and submitting payment, you acknowledge and confirm that:

  • You have read and understood these Terms and Conditions
  • You have read and agree to our Privacy Policy
  • You meet the eligibility requirements for membership
  • You have the authority to bind your business to this Agreement
  • You agree to be bound by all terms set forth in this Agreement
